The Company maintains a zero-tolerance policy toward bribery, corruption, and financial
impropriety in any form. This Anti-Bribery and Anti-Corruption Policy (the "Policy") is
designed to ensure compliance with the U.S. Foreign Corrupt Practices Act (FCPA), the
UK Bribery Act, and all applicable anti-corruption laws in the jurisdictions where the
Company operates or participates in government tenders, procurement processes, and
security operations worldwide.
This Policy applies to all directors, officers, employees, and third-party partners acting on
behalf of the Company, including independent sales representatives (1099 contractors like
Charles), consultants, advisors, and subcontractors (collectively referred to as "Associated
Persons").
2. PROHIBITED CONDUCT
All Associated Persons are strictly prohibited from engaging in any form of bribery, facilitating
payments, or corrupt practices. Specifically, you must not:
● Give or Offer Bribes: Offer, promise, authorize, or give any financial or other
advantage (including cash, gifts, hospitality, or services) to any person, public official,
or private entity to improperly influence a business decision, secure a contract, or
obtain an improper business advantage.
● Receive or Solicit Bribes: Request, agree to receive, or accept any financial or
other advantage from clients, vendors, competitors, or third parties intending to
influence VORDR's operational impartiality or professional judgment.
● Facilitating Payments: Make "grease payments" or facilitating payments (small,
unofficial payments to low-level government officials to expedite routine,
non-discretionary governmental actions, such as customs clearances or permit
issuances).
● Corruption in Tenders and Bidding: Engage in collusive bidding, bid-rigging, or
offer any incentives to procurement officials during public or private tenders (including
government, military, or institutional tenders worldwide).
3. GIFTS, HOSPITALITY, AND ENTERTAINMENT
While modest business hospitality and promotional gifts of nominal value are acceptable in
standard commercial environments, they must never be used to improperly influence a
business decision or create a conflict of interest.
● Transparency: Any gift or hospitality offered or received on behalf of VORDR must
be reasonable, proportionate, directly related to a legitimate business purpose, and
recorded transparently.
● Strict Prohibitions: Under no circumstances may gifts, entertainment, or hospitality
be offered to or accepted from public officials or procurement officers during an active
tender, bidding process, or contract negotiation.
4. THIRD-PARTY DUE DILIGENCE & 1099 REPRESENTATIVES
Because VORDR operates under the strict quality standards of ISO 9001:2015, we
systematically assess the integrity of our partners.
● All third-party contractors, sales agents (1099), and representatives must undergo a
rigorous background check and vetting process before onboarding, in compliance
with our Privacy and Compliance standards.
● All agreements with third parties must contain explicit legal clauses requiring
compliance with this Policy and the FCPA.
● VORDR can be held legally liable for the corrupt actions of its third-party
representatives. Therefore, any red flags regarding unethical behavior, requests for
unusual payment structures (e.g., cash payments or transfers to offshore accounts),
or lack of transparency will result in immediate termination of the contract.
5. INTEGRATION WITH CYBERSECURITY AND DATA PROTECTION (NIST
/ CMMC)
Under the NIST SP 800-171 and CMMC frameworks, the security of VORDR’s digital
infrastructure is crucial to preventing corporate espionage and financial corruption.
● Authorized corporate communication channels, secure networks (VPN), and
Multi-Factor Authentication (MFA) must always be utilized to conduct company
business.
● Any unauthorized access to financial databases, customer management tools, or
procurement portals must be reported within twenty-four (24) hours to prevent
corrupt manipulation of data or bids.
6. REPORTING VIOLATIONS AND WHISTLEBLOWER PROTECTION
VORDR is committed to creating an environment where employees and contractors feel safe
to report suspected violations of this Policy.
● Duty to Report: If you become aware of or suspect any corrupt activity, bribery, or
conflict of interest, you must report it immediately to the Managing Director or via our

● Non-Retaliation: VORDR strictly prohibits retaliation, harassment, or adverse action
of any kind against any individual who, in good faith, reports a suspected violation or
participates in an anti-corruption investigation.
7. CONSEQUENCES OF BREACH
Failure to comply with this Policy will result in immediate and severe consequences:
● Employees and 1099 Contractors: Subject to immediate disciplinary action, up to
and including termination of employment or immediate cancellation of the
Independent Contractor Agreement, without commission or compensation.
● Legal Action: VORDR will cooperate fully with law enforcement agencies. Violations
of anti-bribery laws carry severe civil and criminal penalties, including substantial
fines and imprisonment for individuals.

accountability. In line with our Code of Ethics, Anti-Bribery Policy, and ISO 9001:2015
quality standards, we expect all employees, independent contractors (1099 representatives),
vendors, clients, and partners to maintain these high standards.
The purpose of this Whistleblowing Policy is to provide a secure, confidential, and reliable
channel for reporting suspected wrongdoing, illegal activities, or unethical conduct within the
Company, without fear of retaliation, victimization, or subsequent discrimination.
This Policy applies to all personnel associated with VORDR International LLC, including
directors, officers, employees, 1099 independent contractors, subcontractors, and third-party
partners.
2. REPORTABLE CONDUCT
This Policy is designed to cover major concerns that fall outside standard personal
grievances or routine human resources issues. Reportable conduct includes, but is not
limited to:
● Financial Malpractice or Fraud: Corruption, bribery, embezzlement, money
laundering, or theft.
● Failure to Comply with Legal Obligations: Violations of federal, state, or
international laws, including ITAR, export controls, or local security regulations.
● Human Rights Violations: Breaches of our Human Rights Policy, including physical
abuse, coercion, harassment, or severe labor law violations in our operational
theaters.
● Cybersecurity & Data Breaches: Intentional bypassing of NIST SP 800-171 or
CMMC security controls, unauthorized access to Controlled Unclassified Information
(CUI), or leaking client data.
● Health and Safety: Actions that pose a serious and immediate danger to public
health, physical safety, or the environment.
● Deliberate Concealment: Attempting to hide or destroy evidence relating to any of
the above-mentioned offenses.
3. SAFEGUARDS, CONFIDENTIALITY, AND ANONIMITY
VORDR is committed to protecting whistleblowers who raise genuine concerns in good faith.
● Strict Confidentiality: The identity of the whistleblower will be kept strictly
confidential throughout the investigation process. Their name will not be disclosed
without their explicit consent, unless required by law or judicial order.
● Anonymous Reporting: Whistleblowers may choose to report their concerns
anonymously. While VORDR fully investigates anonymous reports, we encourage
whistleblowers to provide as much detailed evidence as possible to facilitate a
thorough investigation.
● Protection against Retaliation (Zero Retaliation): VORDR strictly prohibits

5. THE INVESTIGATION PROCESS
Upon receiving a report, VORDR’s Compliance Department will follow a structured and
impartial investigation process:
1. Acknowledgment: The receipt of the report will be acknowledged in writing to the
whistleblower within seven (7) business days (unless the report was submitted
anonymously without contact info).
2. Initial Assessment: An initial evaluation will be conducted to determine if the report
falls under the scope of this Policy and if a formal investigation is warranted.
3. Investigation: A thorough, confidential, and independent inquiry will be launched.
The investigator may request additional information from the whistleblower if
necessary.
4. Resolution and Action: If the investigation reveals wrongdoing, VORDR will take
swift corrective action, which may include disciplinary proceedings, termination of
contracts, and reporting the matter to appropriate federal, military, or civil law
enforcement authorities.

outcome of the investigation.
6. FALSE ALLEGATIONS
This Policy is designed to protect those who report genuine concerns in good faith. Anyone
who makes an allegation maliciously, in bad faith, or knowing it to be entirely false will not be
protected under this Policy and may face immediate disciplinary action, up to and including
termination of employment or immediate cancellation of their 1099 contractor agreement.

● Anti-Bribery and Anti-Corruption: In accordance with our Anti-Bribery Policy and
the U.S. Foreign Corrupt Practices Act (FCPA), we have zero tolerance for bribery,
collusive bidding, or facilitating payments in public or private tenders.
● Export Controls and Defense Regulations: We comply with all applicable trade
compliance laws, including the International Traffic in Arms Regulations (ITAR)

4. CYBERSECURITY, DATA PROTECTION, AND INFORMATION
SECURITY

● Need-to-Know Principle: We restrict access to client data and sensitive intelligence
to authorized personnel who have a verified operational need-to-know.

Multi-Factor Authentication (MFA), secure networks, and follow the cybersecurity

5. CONFLICTS OF INTEREST
Associated Persons must avoid any situation where their personal, financial, or political
interests conflict—or appear to conflict—with the interests of VORDR or its clients.
● Transparency: Any potential conflict of interest must be disclosed immediately to the
Managing Director.
● Secondary Employment: 1099 independent contractors and employees must not
engage in any outside professional activities that compete with VORDR or
compromise the security and confidentiality of our operations.
6. SAFEGUARDING VORDR'S REPUTATION (FOR 1099

Every representative of VORDR, including our independent sales force (1099), acts as an
ambassador of our brand.

● Media and Public Statements: Only the Managing Director is authorized to make
public statements, press releases, or media commentary on behalf of VORDR

Anti-Bribery Policy, or applicable laws, you have an obligation to report it immediately.
